If you decide to open a branch of a foreign company in Ukraine, probably the first question that immediately arises before you is how to register it correctly.

 

Registration of representative offices of foreign economic entities in Ukraine is a very important and responsible process. To do everything right and not get rejected, you need to carefully follow the statutory procedure.

1. The first step is to collect the necessary documents.

In total they need to submit 4:

• Application for registration (made in any form);

• Extract from the register (commercial or banking) of the country where your company is officially registered;

• Certificate from the banking institution where your company's account is officially opened;

• Power of attorney for the performance of representative functions, which is executed in accordance with the legislation of the country of official registration of a foreign business entity;

All these documents must also be notarized with the place of issue, duly legalized in consular offices representing the interests of Ukraine, as well as make an official translation into Ukrainian, certified by the seal of the official translator.

In addition, it should be noted that for documents issued in the country of official location of your company, the deadline for submission - 6 months.

2. The second step is to submit documents to the Ministry of Economic Development, Trade and Agriculture of Ukraine, whose employees immediately check their affiliation. If you did everything right, the application will be accepted and you will receive a letter to your address to pay the administrative fee.

3. The third step is the payment of the administrative fee according to the specified details of the State Treasury.

The recent Resolution “On Some Issues of Registration of Representative Offices of Foreign Business Entities in Ukraine” amended to reduce the fee for registration of a representative office of a foreign business entity in Ukraine from USD 2,500 to 1 subsistence level for able-bodied persons. As of 2021, it is 2,270 hryvnias.

An exception is established for the registration of representative offices of companies from a state recognized by the Verkhovna Rada of Ukraine as an aggressor state. The amount of such a fee is 30 subsistence minimums for able-bodied persons (68,100 hryvnias).

 

4. After that extradition is carried out the expected Certificate of registration of the representative office .

The following administrative service is provided within clearly defined terms:

• 20 working days (As a general rule. Deducted from the moment of submission of documents to the Ministry).

• 60 working days (for subjects from the state recognized by the Verkhovna Rada of Ukraine as the aggressor state).
